Legal Manager

Location: Saigon Trade Center, 23rd Floor, 37 Ton Duc Thang Street, District 1, Ho Chi Minh City, Vietnam

Requirement: Candidate must have at least a College/University degree and specialize in legal, with experience working in securities, finance, or insurance companies.

Key Accountabilities

Legal

• Provide legal support and advice to all functions including corporate, AML, data privacy protection, and fund management
• Review and verify all legal documents, contracts, agreements including Forms, Corporate Charter, Fund Prospectus/Charter
• Implement and ensure updated company licenses/permits
• Update new regulations and provide legal analysis on business impact for related departments
• Update SOPs, guidelines and conduct legal training for employees
• Act as Legal Secretary for RCL department
• Provide legal support to committees such as Product Committee, Investment Committee for private and negotiated investments
• Perform other tasks as assigned by Head of RCL

Other Accountabilities

• Support Head of RCL in reporting to clients, local regulators, and ES Head Office
• Coordinate during audits, inspections, and quality assurance reviews
• Conduct compliance training for staff
• Perform other assigned duties

Qualifications & Experience

• Bachelor’s degree in Law
• 7–10 years of legal advisory experience
• At least 2 years working in legal/compliance department in financial industry (insurance, securities, fund management, banking)
• Must have 2 certifications:
  • Fundamental Issues of Securities & Securities Market Certificate
  • Securities Law & Securities Market Certificate
• Business-oriented mindset
• Strong influencing and stakeholder engagement skills
• Strong analytical and problem-solving skills
• Ability to interpret and implement legal regulations
• Strong communication skills in both English & Vietnamese
• Good teamwork attitude

• Experience in:
  • Corporate law / AML / Data Privacy / Fund management
  • Reviewing contracts, prospectus, charter, legal docs
• Worked closely with:
  • Investment committee / Product committee
• Experience handling:
  • Licensing / regulatory updates / compliance reporting
• Experience in training internal staff on legal topics

• Only law firm background, no in-house financial experience
• No securities certificates
• Weak English communication
• Less than 2 years in financial industry
